1. Acceptance of Terms

By accessing or using services provided by Ultima Inc ("Company," "we," "us," or "our") through our website at https://ultima.inc (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

2. Description of Service

Ultima Inc provides a software-as-a-service (SaaS) platform accessible via the internet. Features, pricing, and availability may change at our discretion. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration and Responsibilities

To use certain features of the Platform, you may need to create an account. When you do, you agree to provide accurate and complete information and to keep that information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access or use.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment Terms

All payments are processed securely through Stripe. We do not store your payment card information directly on our servers.

Subscription plans, pricing, and billing cycles are described on our pricing page. By subscribing, you authorize recurring charges at the applicable rate until you cancel. You are responsible for any applicable taxes associated with your subscription.

If a payment fails, we may suspend your access until the outstanding balance is resolved. All fees are stated in U.S. dollars unless otherwise indicated.

5. No Refunds

All sales are final. We do not offer refunds for subscription fees, one-time purchases, or any other charges. By completing a purchase, you acknowledge and agree that no refunds will be issued.

If you cancel your subscription, you will retain access to the Service through the end of your current billing period. No partial or prorated refunds will be provided.

6. Promotional Terms and Conditions

From time to time, we may offer promotional pricing, discount codes, or limited-time offers at our sole discretion. These promotions may be subject to additional terms disclosed at the time of the offer.

Discount codes are non-transferable, cannot be combined with other offers unless explicitly stated, and must be applied at the time of checkout. We reserve the right to modify, suspend, or terminate any promotion at any time without prior notice. Abuse of promotional offers may result in order cancellation or account suspension.

7. Intellectual Property

All content, software, designs, logos, trademarks, and materials available on the Platform are owned by or licensed to Ultima Inc and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any Platform content without our prior written permission.

Your use of the Platform does not grant you any ownership rights in the Service or its content.

8. User Content

If you submit, upload, or otherwise provide content through the Platform, you grant Ultima Inc a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with operating and improving the Service.

You represent and warrant that you have the necessary rights to submit any content you provide and that such content does not violate any third party's rights.

9. Prohibited Uses

You agree not to:

• Use the Platform for any unlawful purpose
• Interfere with or disrupt the security, integrity, or performance of the Platform
• Attempt to gain unauthorized access to any part of the Service
• Use automated tools, bots, or scrapers to harvest data from the Platform
• Impersonate any person or entity
• Reverse engineer, decompile, or disassemble any part of the Platform
• Violate any applicable local, state, national, or international law or regulation

10. Termination

We may suspend or terminate your account at our discretion, with or without notice, if you violate these Terms or engage in conduct that we determine is harmful to the Platform or other users.

Upon termination, your right to access and use the Platform ceases immediately. Any provisions of these Terms that by their nature should survive termination (including, without limitation, intellectual property, limitation of liability, and dispute resolution) will remain in effect.

11. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Ultima Inc and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Platform.

Our total aggregate liability for any claim arising from or related to these Terms or the Service shall not exceed the total amount you paid to Ultima Inc in the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Ultima Inc and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third party's rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days, either party may pursue binding arbitration in Delaware under the rules of the American Arbitration Association.

You agree to waive any right to a jury trial and any right to participate in a class-action lawsuit or class-wide arbitration.

16. Modification of Terms

We reserve the right to update or modify these Terms at any time. Changes become effective immediately upon posting to the Platform. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

We will make reasonable efforts to notify users of material changes via email or a prominent notice on the Platform.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and Ultima Inc regarding your use of the Platform.
